Terms and Conditions for www.entelect.in

Welcome to www.entelect.in ("Website"), operated by Entelect Techsol LLP ("We," "Us," or "Our"). These Terms and Conditions ("T&C") govern your access to and use of our Software as a Service (SaaS) offerings, including Customer Relationship Management (CRM), Dialler, and Data Analytics tools (collectively, "SaaS Services"), as well as our Business Process Outsourcing (BPO) services for call center operations (collectively, "BPO Services") (together referred to as "Services"). By accessing or using our Services, you ("User," "Customer," or "You") agree to be bound by these T&C. If you do not agree, please refrain from using our Services.

1. Scope of Services

1.1 SaaS Services: We provide cloud-based software solutions starting from as low as INR 1500/License/Month, including:

  • CRM: Tools to manage customer relationships, interactions, and data.

  • Dialler: Automated calling solutions to enhance outbound communication efficiency.

  • Data Analytics: Tools for processing and analyzing business data to derive insights.

1.2 BPO Services: We offer outsourced call center solutions, including customer support, telemarketing, and back-office operations, tailored to your business needs.

1.3 These Services are provided on a subscription basis for SaaS and a contractual basis for BPO, as detailed in your order form or agreement with us ("Order").

2. Eligibility and Account Registration

​

2.1 You must be at least 18 years old and a legally recognized entity or individual under Indian law to use our Services.

2.2 To access SaaS Services, you must register an account ("Account") on our Website by providing accurate and complete information. You are responsible for maintaining the confidentiality of your Account credentials and all activities under your Account.

2.3 For BPO Services, eligibility is determined based on the executed service agreement between you and us.

3. Subscription and Usage (SaaS Services)

​

3.1 Subscription Plans: SaaS Services are offered under various subscription plans detailed on our Website or in your Order. Each plan specifies the scope, features, and limitations (e.g., number of users, calls, or data storage).

3.2 License Grant: We grant you a non-exclusive, non-transferable, revocable license to access and use the SaaS Services for your internal business purposes, subject to these T&C and your subscription plan.

3.3 Usage Restrictions: You shall not:

  • Reverse-engineer, decompile, or modify the SaaS Services.

  • Use the Services for illegal purposes or to infringe third-party rights.

  • Share access credentials with unauthorized users.

  • Exceed the usage limits specified in your subscription plan.

3.4 Updates and Maintenance: We may update or maintain the SaaS Services periodically, which may involve temporary downtime. We will endeavor to notify you in advance of scheduled maintenance.

4. BPO Service Terms

​

4.1 Service Scope: BPO Services are provided as per the scope defined in your Order, including call center staffing, technology support, and performance metrics.

4.2 Performance Standards: We commit to delivering BPO Services in accordance with mutually agreed Key Performance Indicators (KPIs) outlined in your Order.

4.3 Customer Responsibilities: You agree to provide necessary information, access, and support (e.g., call scripts, customer data) to enable us to perform BPO Services effectively.

5. Fees and Payment

5.1 SaaS Fees: Subscription fees for SaaS Services are payable monthly, quarterly, or annually, as specified in your Order. Fees are exclusive of applicable taxes (e.g., GST), which will be added as per Indian law.

5.2 BPO Fees: Fees for BPO Services are based on the agreed pricing structure in your Order, payable as per the invoicing schedule.

5.3 Payment Terms: Payments must be made within 15 days of invoice receipt via bank transfer, credit card, or other methods specified by us. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

5.4 Non-Refundable Clause: Fees paid are non-refundable except as provided in Section 14 (Refund Policy).

5.5 SOFTEX Compliance: For SaaS Services exported outside India, we comply with RBI’s SOFTEX filing requirements to report foreign exchange earnings.

6. Data Privacy and Security

​

6.1 Data Ownership: You retain ownership of all data you upload or generate through the Services ("Customer Data"). We process Customer Data solely to provide the Services.

6.2 Data Protection: We comply with the Digital Personal Data Protection Act, 2023 (DPDPA), and implement industry-standard security measures to protect Customer Data from unauthorized access, loss, or disclosure.

6.3 Data Processing: By using our Services, you consent to our processing of Customer Data as necessary for service delivery, analytics, product improvement, and compliance. For BPO Services, we act as a data processor on your behalf and process data under your instructions.

6.4 Confidentiality: We will maintain the confidentiality of Customer Data and not disclose it to third parties except:

  • With your explicit consent,

  • As required by law, or

  • To trusted subprocessors under strict confidentiality agreements.

6.5 Third-Party Services: Some features may depend on integrations with third-party services (e.g., payment processors, analytics platforms). We encourage you to review their respective privacy practices.

6.6 Cookies and Tracking: We use cookies and similar technologies to improve functionality, analyze usage, and personalize content. By using our website, you consent to the use of such technologies.

6.7 User Rights: Subject to applicable laws, you may request access, correction, deletion, or restriction of your personal data by contacting privacy@entelect.in.

 

7. Intellectual Property

7.1 Our IP: All intellectual property rights in the SaaS Services, including software, designs, and trademarks, remain our exclusive property.

7.2 Your IP: You grant us a non-exclusive, royalty-free license to use your trademarks, logos, or content provided for BPO Services solely to perform our obligations under the Order.

7.3 Feedback: Any feedback or suggestions you provide about the Services may be used by us without obligation to compensate you.

 

8. Service Level Agreement (SLA)

8.1 SaaS Uptime: We aim to maintain 99.5% uptime for SaaS Services, excluding scheduled maintenance. Downtime credits may be offered at our discretion for prolonged outages.

8.2 BPO Performance: BPO Services will adhere to KPIs specified in your Order. Remedies for non-performance will be as agreed therein.

 

9. Limitation of Liability

9.1 To the maximum extent permitted by Indian law, our total liability for any claim arising from these T&C or the Services shall not exceed the fees paid by you in the preceding 12 months.

9.2 We shall not be liable for indirect, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

10. Indemnification

​

10.1 You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your misuse of the Services, violation of these T&C, or infringement of third-party rights.

10.2 We will indemnify you against claims that the SaaS Services infringe third-party intellectual property rights, provided you notify us promptly and allow us to control the defense.

11. Term and Termination

​

11.1 Term: These T&C remain in effect for the duration of your subscription (SaaS) or service agreement (BPO), as specified in your Order.

11.2 Termination by You: You may terminate your SaaS subscription or BPO agreement by providing 30 days’ written notice, subject to payment of outstanding fees.

11.3 Termination by Us: We may terminate or suspend Services if you:

  • Fail to pay fees within 30 days of due date.

  • Breach these T&C materially.

  • Become insolvent or subject to bankruptcy proceedings.

11.4 Post-Termination: Upon termination, your access to SaaS Services will cease, and BPO Services will conclude. You may retrieve Customer Data within 30 days, after which we may delete it, subject to legal retention obligations.

12. Governing Law and Dispute Resolution

​

12.1 These T&C are governed by the laws of India.

12.2 Any disputes arising hereunder shall be resolved through arbitration in New Delhi, India, under the Arbitration and Conciliation Act, 1996, with one arbitrator appointed mutually. The language of arbitration shall be English.

12.3 Subject to arbitration, exclusive jurisdiction lies with the courts in New Delhi, India.

13. Miscellaneous

​

13.1 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control (e.g., natural disasters, government actions).

13.2 Amendments: We may update these T&C periodically. Continued use of the Services after updates constitutes acceptance of the revised terms.

13.3 Entire Agreement: These T&C, along with your Order, constitute the entire agreement between you and us, superseding prior agreements.

14. Refund and Cancellation Policy

​

14.1 SaaS Services:

  • Payments made for SaaS subscriptions are non-refundable once the service term begins, except in cases of prolonged service failure unresolved for 15 business days following written notice.

  • Approved refunds will be processed within 7 working days to the original source of payment.

14.2 BPO Services:

  • Refunds for BPO Services will only be applicable if explicitly agreed upon in the service agreement or in case of documented non-performance.​

14.3 Cancellation:

  • You may cancel your subscription or terminate your agreement as per Section 11.

  • Cancellation does not automatically entitle you to a refund unless otherwise specified.
